1. PURCHASES AND SALES

If you are purchasing or selling a business (or part of a business), you need good documentation to protect your rights and to make sure that you are fully aware of nature of the transaction proposed. Most contracts for purchase or sale exclude enforcement of oral side agreements and can contain a number of traps for the unwary. An experienced business attorney can spot problems in your agreement and make sure that you are aware of the real risk you undertake in a transaction. Money spent on the front end of a transaction will be much less than the amount you may have to spend to litigate problems. BEWARE of advice from anyone telling you that you do not need an attorney for the sale or purchase of a business.
